IDS Guarantee Terms and Conditions Agreement
The following guarantees are offered to IDS customers provided that they completed their registration and on condition that they agreed to the terms and conditions herein. If you do not accept the terms and conditions or complete your registration then the guarantees are not on effect.
IDS TWO-YEAR MONEY BACK COPIER PERFORMANCE GUARANTEE - Customer has up to two years to exchange or return the equipment. Customer must be continuously in terms with all invoices from IDS and its third party leasing vendors. Equipment must be continuously maintained under a non-discounted service contract with IDS. All previous lease buy-outs or lease upgrades paid by the dealer must be returned to the dealer at the commencement of this guarantee. Customer must notify IDS in writing by certified mail within 24 months of contract date for this guarantee to take effect. IDS reserves the right to resolve any equipment malfunctions through its own resources or those of the manufacturers including replacing the equipment with a like new or newly re-manufactured piece of equipment prior to picking up the equipment and returning any money. This guarantee applies to all new digital copiers with copy/print speed of 35 pages per minute or more.
IDS TWO-HOUR SERVICE RESPONSE TIME GUARANTEE - Customer must be continuously in terms with all invoices from IDS and its third party leasing vendors. Equipment must be continuously maintained under a non-discounted service contract with IDS. Customer must notify IDS in writing within 30 days of incident date to receive service charge credit. This guarantee applies to all new digital copiers with copy/print speed of 35 pages per minute or more.
Indemnity
You agree to indemnify, defend and hold National Business Systems, dba Integrated Document Solutions (IDS) and its affiliates, and their respective directors, officers, employees, shareholders, partners and agents (collectively, the "IDS Parties") harmless from and against any and all claims, liability, losses, costs and expenses (including lawyers’ fees on a solicitor and client basis) incurred by any IDS Party in connection with: (i) any unresolved claim under the guarantees whether or not authorized by you; (ii) or resulting from any unsubstantiated claim under these guarantees; or (iii) any breach by you of the terms and conditions of these guarantees. IDS reserves the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with IDS defense of such claim.
Miscellaneous
This Agreement shall be governed by and construed according to the laws of Maryland. This Agreement is not assignable and may be canceled without notice if the covered equipment is transferred to a third party. IDS shall not be responsible for delays or inability to service equipment caused directly or indirectly by strike, accidents, weather conditions or other reasons beyond the control of IDS. You specifically agree and acknowledge that you have, in addition to the terms of this Agreement, reviewed the terms of the Terms of Use and any other agreements which may be incorporated by reference therein, and to the extent of their incorporation herein you agree to be bound by them. IDS’s failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right.

Acknowledgement
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND IDS, WHICH SUPERCEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATION BETWEEN YOU AND iSTOCKPHOTO RELATING TO THE SUBJECT OF THIS MEMBERSHIP AGREEMENT.
